04.Client Responsibilities & Account Access

Clients agree to provide necessary assets, approvals, brand guidelines, and administrative or delegate access to relevant digital properties, including Google Ads accounts, Google Search Console, Meta Business Suite, website CMS platforms, analytics accounts, and other required marketing platforms, in a timely manner to enable proper execution of marketing campaigns.

Clients are responsible for ensuring that all information, materials, claims, images, trademarks, and other content supplied to The PC Mechanics are accurate and that they have the necessary rights and permissions to use such materials.

Service fees are agreed upon prior to campaign kickoff and detailed in service invoices, proposals, or statements of work.

  • Monthly retainers are generally billed in advance at the beginning of each billing period.
  • The client is responsible for ensuring that payments are made on time.

06.Realistic Performance Expectations

While The PC Mechanics applies professional, data-driven methodologies and industry best practices to maximize campaign performance, digital marketing results depend on numerous factors, including market competition, search engine algorithm updates, consumer demand, advertising platform policies, account history, budget, website performance, and conversion rates.

Accordingly, The PC Mechanics does not guarantee specific rankings, leads, sales, revenue, return on ad spend (ROAS), or other specific financial results unless expressly agreed to in writing.

07.Third-Party Platforms

Marketing campaigns may rely on third-party platforms and services, including Google, Meta, social media platforms, advertising networks, analytics providers, hosting providers, and other technology providers.

The PC Mechanics is not responsible for outages, policy changes, account suspensions, algorithm changes, technical failures, service interruptions, or other actions taken by third-party platforms.

Clients remain responsible for complying with the terms, policies, and advertising requirements of the platforms used for their campaigns.

08.Intellectual Property

Upon full payment of all applicable service fees, the client retains ownership of deliverables created specifically for the client, such as approved custom copy, custom graphics, website content, and website code created specifically for the project, unless otherwise stated in the applicable agreement.

The PC Mechanics retains ownership of its pre-existing proprietary tools, systems, templates, frameworks, methodologies, processes, strategies, and generalized marketing workflows.

Third-party materials, software, plugins, fonts, stock images, applications, and other licensed resources remain subject to their respective licenses and terms.

09.Confidentiality

Both parties agree to use reasonable measures to protect confidential business, marketing, technical, financial, and account information received from the other party.

Confidential information will not be disclosed to third parties except where necessary to provide the contracted services, comply with applicable law, or where otherwise authorized by the relevant party.

10.Website & Marketing Content

Clients are responsible for reviewing and approving marketing materials, website content, advertisements, offers, claims, and other materials before publication where approval is requested.

The client remains responsible for the accuracy and legality of business claims, pricing, product information, testimonials, warranties, guarantees, and other information supplied for use in marketing campaigns.

11.Limitation of Liability

To the maximum extent permitted by applicable law, The PC Mechanics shall not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, loss of business opportunities, loss of data, or other consequential losses arising from the use of our services.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

12.Termination & Cancellation

Either party may terminate a monthly marketing service agreement by providing written notice in accordance with the applicable service proposal or agreement, typically 14 to 30 days prior to the next billing cycle.

Upon termination:

  • Outstanding invoices and approved charges remain payable.
  • Advertising costs already incurred remain the responsibility of the client.
